Welcome to Minutly, LLC. We are excited to have you on board. By accessing or downloading our mobile application ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.
1. Who We Are
Minutly, LLC ("we," "us") provides a platform that connects "Users" or "Professionals" who offer services, with "Clients" (who purchase time) for paid audio and/or video consultations. We are a marketplace for services, not digital content.
Important: We are a technology provider, not an employer or an employment agency. Professionals are independent contractors, not employees of Minutly, LLC.
2. Eligibility and Accounts
- Age Requirement: You must be at least 18 years old to use Minutly, LLC.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activities that occur under your account. Minutly, LLC is not responsible for your activities that occur under your account.
- Accuracy: You agree to provide accurate, current, and complete information during the registration process. Minutly, LLC is not responsible for inaccurate, incomplete information from the registration process.
3. Payments and Billing
- For Professionals: You set your own per-minute rate. By using the Minutly App, you authorize Minutly, LLC to collect payments on your behalf and deduct our service fee before paying out the remainder to you.
- For Clients: You agree to pay the per-minute rate displayed by the Professional.
- Billing Calculation: Charges are calculated based on the actual duration of the call.
- Fees: After the initial 30-day free platform fee, Minutly, LLC retains a service fee of 10% from every transaction to cover platform maintenance and payment processing costs. During the initial 30-day free platform fee period, a processing fee will still be applied, determined by the processing company, typically 2.9% + 30 cents per transaction, but this fee is subject to change without notice.
- Refunds: Because Minutly, LLC sells time, services are generally non-refundable once the time has been spent. Refunds owed to the client by the professional are not a matter of Minutly, LLC and are between the professional and the client. Money owed to the Professional by the client outside the terms of the Minutly, LLC app is between the Professional and the client.
4. User Conduct
To keep Minutly safe and professional, you agree notto:
- Harass, bully, or threaten other users.
- Use the platform for illegal activities, including the sale of prohibited goods or services.
- Users may not use the Minutly App to impersonate another person or falsely represent professional credentials.
- Share sexually explicit content or engage in solicitation.
- Recording: You must not record calls or video chats without the express consent of the other party. You are responsible for complying with all applicable wiretapping and privacy laws in your jurisdiction.
If you are a licensed health provider using this application:
· You are solely responsible for complying with all professional, ethical, and legal obligations, including HIPAA, informed consent, and licensing board regulations.
· Minutly, LLC is not liable for any disputes, claims, or outcomes related to your clients, services, or professional conduct.
· You agree to indemnify and hold harmless Minutly, LLC, its owners, employees, and agents from any claims arising out of your relationship with your clients, or any professional conduct outside the terms of Minutly, LLC.
5. Disclaimers and Limitation of Liability
- No Professional Advice: Minutly, LLC does not provide medical, legal, financial, or other professional advice. We strictly provide the connection. We are not responsible for the accuracy or quality of advice provided by Professionals.
- "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the App will always be safe, secure, or error-free.
- Liability Cap: To the maximum extent permitted by law, Minutly, LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of the App.
6. Termination
We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
8. Changes to Terms
We reserve the right to update these Terms periodically, without notice. Continued use of the Service after changes are made constitutes acceptance of the new terms.
